LKT acted as legal counsel to Indotek Group in connection with the acquisition of the remaining stake in Auchan Hungary held by Auchan Retail International, resulting in Indotek becoming the sole owner of Auchan Hungary.
Preparations for the transaction began in 2021. Following several rounds of renegotiation and restructuring of the original deal structure, the parties successfully reached signing and closing. The complexity of the transaction is reflected in the need for the coordinated involvement of multiple closely interconnected areas of law.
Since 2024, LKT has provided comprehensive legal advice throughout all stages of the transaction. Our mandate included, among other things, advising on the transaction structure, renegotiating the share purchase agreement, drafting and negotiating the agreements governing the joint venture, preparing and reviewing the brand licence and procurement agreements, coordinating the competition law and foreign direct investment (FDI) approval processes, and advising on the legal aspects of the transaction financing.
The LKT team was led by partner Iván Sólyom. The core team also included Gergely Kántor, Soma Schóber and Péter Pazonyi, working closely with the firm's M&A, banking and finance, competition and intellectual property specialists.
The successful completion of the transaction once again demonstrates LKT's ability to deliver comprehensive legal support on complex, cross-border transactions involving multiple practice areas and international stakeholders.
